POSITION SUMMARY:

The Paralegal will assist attorney(s) by providing clerical and research support services, including document research, preparation, editing, and review; interaction with clients; creation/maintenance of files and contract assignments; reporting requirements; and legal invoice processing.

 

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • Formation of legal entities, foreign qualifications, and drafting of corporate-related documents: drafting articles, bylaws, operating agreements, qualification documents, applying for EIN, corporate minutes, resolutions, and consents.
  • Supervise legal invoice processing for outside legal counsel and applicable third-party vendors.
  • Prepare and file annual reports, or their equivalents, in various states for US legal entities.
  • Maintain Shareholders, Officers, and Directors lists.
  • Maintain vehicle organization charts, vehicle registration, renewals, and insurance coverage and claims.
  • Interact with external contacts, including outside counsel, registered agents, auditors, tax advisors, etc.
  • Manage contract assignments and maintain and update our contract repository, ensuring accuracy and accessibility.
  • Proofreading commercial contracts and other legal documents.
  • Support merger and acquisition work.
  • Manage the Annual Reports and Banking Renewals for Foreign Entities.
  • Prepare annual Board and Shareholder Resolutions; Draft Resolutions/Consents for all Roeslein entities as needed.
  • Manage Non-Disclosure Agreement requests; review requested changes and input if agreed to (subject to prior review)
  • Input edits to Roeslein terms and conditions requested by vendors (subject to prior review)
  • Manage and respond to Certificate of Insurance requests from vendors and customers.
  • Assist with insurance renewal applications.
  • Assist with filing various state contractor and/or engineering licensing applications and renewals.
  • Implement a contract and document management and filing system.
  • Assist the Human Resources Department with legal matters.

OTHER DUTIES AND RESPONSIBILITIES:

  • Develop and maintain relationships with employees at all locations.
  • Conduct activities in a safe and healthy manner and work per established safety and company requirements.
  • Perform other duties as assigned.

WORK ENVIRONMENT:

Work is performed in an office and an uncontrolled atmosphere.  Exposure to harsh conditions—such as dust, fumes, chemicals, hazardous materials, noise, and varying weather and temperatures—for short periods of time is possible.  All employees must follow safety standards and wear all personal protective equipment in designated areas. 

 

PHYSICAL DEMANDS:

The physical demands described here must be met by an employee to successfully perform the essential functions of this job.   While performing the duties of this position, the employee is regularly required to walk, stand, use hands and fingers, grip, handle, or feel; reach with hands and arms; climb or balance; stoop, kneel, crouch, or crawl; and talk and hear.  The ability to lift and carry 10 lbs. regularly is required. 

 

KNOWLEDGE / SKILL / ABILITY / EDUCATION / EXPERIENCE:

  • Associate degree in Paralegal Studies or related field required, Bachelor’s degree in Paralegal Studies or related field preferred.
  • Minimum of 2 years’ experience as a legal secretary or corporate paralegal.
  • General understanding of legal entity mechanics, corporate governance, and related topics.
  • Experience drafting and filing, as applicable, corporate-related documents such as company formation, bylaws, board minutes, and consents Proficient in using Microsoft Office products.
  • Excellent communication skills, both oral and written.
  • Exceptional attention to detail and accuracy is required.
  • Excellent organization and planning skills.
  • Strong computer skills and an in-depth knowledge of Microsoft Windows based programs are required.
  • Requires effective time management skills, personal conduct, and change management abilities.
  • Ability to effectively interact with co-workers, clients, vendors, and other business contacts.
  • Ability to effectively learn and acquire new knowledge and skills.
