JOB PURPOSE:

The Associate General Counsel & Privacy Officer is responsible for the oversight, implementation, and evolution of Numotion’s privacy program.  This role implements and monitors policies and procedures relating to privacy and provides critical legal advice to the business to operate within the boundaries of the law.  The Associate General Counsel & Privacy Officer also delivers training and provides education to help ensure compliance.  This role works with the General Counsel to provide exemplary legal services to our executive team, business divisions, shared services and operations nationwide.

KEY RESPONSIBILITIES:

 

·         Assist General Counsel in strategic development, implementation, and evolution of privacy compliance program including conducting risk assessments, proactively advising on privacy-related issues, handling privacy investigations and management of training programs that build and promote employee understanding of and engagement with privacy and data protection concepts.

·         Oversee all aspects of corporate privacy compliance, reporting regularly to the General Counsel. 

·         Develop, initiate, and revise policies and procedures for the general operation of the privacy compliance program and its related activities.

·         Work closely with Numotion’s Security Officer and outside counsel; conduct HIPAA training and audits.

·         Act as primary counsel to IT and Marketing functions, especially in support of new business initiatives to identify and advise on privacy considerations, and to provide advice and counsel on a variety of matters impacting corporate IT infrastructure, customer-facing technology, and marketing initiatives.

·         Enhance systems for monitoring, auditing, and measuring the effectiveness of the privacy program in order to identify successes, areas of privacy vulnerability, risks and opportunities for improvement.

·         Develop a mitigation process to protect the company and its businesses and functions and help ensure privacy compliance.

·         Support the privacy impact assessment process to review privacy impacts of various company initiatives.

·         Negotiate and provide guidance about business associate agreements, licensing and distribution agreements, mergers and acquisition agreements, in collaboration with the businesses and regions to address privacy-related issues and concerns.

·         Work collaboratively with other departments to mitigate privacy risks.

·         Supports the Corporate Compliance Officers with legal guidance on privacy compliance issues.

·         As needed, oversee and perform privacy due diligence on potential acquisition targets.

·         As needed, conduct legal research, draft legal memoranda, and prepare variety of corporate legal documents.

·         Conduct internal investigations as needed

·         When necessary, at the direction of the General Counsel, communicate with government regulatory bodies to address issues of significance.

·         Develop a thorough understanding of and familiarity with the organization’s business, its people, markets, facilities, customers and competitors in order to identify trends and formulate appropriate legal advice, structures and strategies.

·         Establish and maintain a rapport and working relationship with business managers in order to encourage and continue the proactive use of in-house legal counsel.

·         Perform special assignments as needed.

·         Support and develop collaborative working relationships within the department.

REQUIRED QUALIFICATIONS, SKILLS, AND EXPERIENCE:

§  Bachelor's degree (B.A.)

§  Juris Doctor (J.D.) or equivalent, such as admission to a recognized Law Society or Bar Council in another jurisdiction.

§  Excellent academic credentials

§  Admitted to the bar in at least one jurisdiction, authorized to practice in at least one state and currently in good standing

§  Minimum 10 years’ experience preferably in-house or at a reputable law firm with at least 6 years’ experience in privacy issues

§  Experience with risk management

§  Experience conducting and overseeing internal investigations and communicating with regulatory bodies

§  Proficiency in Microsoft Office applications, including Word, Excel, PowerPoint and Outlook

 

PREFERRED COMPETENCIES AND QUALIFICATIONS:

§  Experience in corporate law and/or compliance.

§  Demonstrated leadership ability

§  Superior collaboration, communication, and diplomacy skills; ability to influence others

§  Excellent sense of prioritization, highly organized with the ability to manage multiple tasks and to work under pressure

§  Ability to handle highly confidential information discreetly and professionally
