Position Description

Supporting Bracco Medical Technologies’ (“BMT”) cardiovascular and diagnostic imaging businesses, this role requires flexibility, adaptability, and  independent work on a variety of complex matters. This individual must have the ability to work in a complex, fast-moving environment with the experience and confidence to independently identify legal issues and make recommendations on a wide variety of projects with a vast array of issues. It is critical that this individual work collaboratively while fostering positive relationships with internal business partners as well as a variety of third-party vendors. This position requires a driven and initiative-taking individual with an ardent desire for learning and to work independently with limited supervision. The primary geography supported is the United States.

 

Contracting

  • Serve as the first point of contact for the legal department as it relates to contract inquiries.
  • Provide advice and guidance to various internal teams to choose appropriate agreement per business need. 
  • Provide continuous contracting support from the preliminary state through close out in a proactive and responsive manner.
  • Independently create, evaluate, revise, redline, and provide direct feedback on a wide variety of contracts covering a broad range of transactions while considering organization’s needs and risk tolerance. 
  • Perform complex and sophisticated contract review, drafting and, where appropriate, advice related to potential negotiation strategies.
  • May be required to prepare contract briefs and revisions summarizing contractual requirements.
  • Meet with internal stakeholders to discuss both legal and applicable business matters that may impact the analysis and contractual revisions provided to the business. 
  • Accurately identify terms and conditions for escalation to attorney.

 

Marketing Review 

  • As the legal representative attending the MarComm meetings, apply relevant FDA and FTC framework to review of BMT marketing material prior to publication.
  • Engage in discussion with regulatory and clinical personnel related to a wide range of marketing pieces and providing verbal and written feedback to business partners.
  • Pieces range from social media posts to health care professional video presentations. 
  • Proactively review and respond to internal business partner questions and concerns; proactively gathering any additional information that may be necessary to address an outstanding legal issue or concern.
  • This may include responding to third party customer inquiries or drafting legal correspondence.

 

Other Responsibilities

  • Collaborate with other groups on multi-disciplinary projects, which may include Sales, Service, Supply, or Operations.
  • Ensure the organization’s internal contract documents are accurate and well maintained, including:
    • Placing current and future contract templates on a review schedule to ensure necessary updates to meet standards as prescribed by BMT affiliates and current law.
    • Identify opportunities to improve business processes and devise proposed plans to implement such changes.
  • Serve as the first point of contact for the management of contract databases, contracts, and life cycle management for legal.
  • Work in collaboration with legal administrative assistant as needed.
  • Annually review registered agent services and invoices for accuracy as well as any required corporate filings, which may include, but is not limited, to annual report filings, complete secretary of state filings and annual corporate licensing requirements.
  • Assist with obtaining and distributing notarizations, apostilles, legalized documents and corporate filings. Work in collaboration with legal administrative assistant to accomplish tasks necessary.
  • Assist the General Counsel or Senior Corporate Counsel with other projects as assigned. 

Qualifications (Knowledge, Skills & Abilities):

Minimum

  • 10+ years’ experience  providing paralegal or contract review and analysis in a law firm or corporate environment.
  • 7+ years’ senior level experience with independent drafting, redlining, reviewing, and analyzing contracts in commercial, sales, and transactions. This includes proficiency in legal issue spotting and contract negotiation.
  • Prior experience and/or familiarity with medical device and/or healthcare industries.
  • Ability to read, comprehend and apply knowledge of laws, rules, and regulations and procedures applicable to relevant legal documents, including transactional legal concepts such as limitations of liability, warranties, and remedies.
  • Ability to identify and define problems, collect relevant information, research, and analyze information and data to advise on risk and potential issues in highly complex and/or ambiguous situations, including consideration of the impact and long-term effect of various possible decisions/solutions.
  • Familiar with diverse, extraordinarily complex legal problems and adept at devising reasonable solutions and creative solutions.  Such ability must contain  an aptitude for independent problem-solving.
  • Must have the ability to work independently in high pressure situations, including the ability to manage multiple complex projects simultaneously, manage and resolve conflict effectively and move project forward through final execution.
  • Ability to function effectively in high pressure situations and deliver superior customer service to both internal stakeholders, affiliates, and external customers.
  • Excellent writing and proofreading skills, with great attention to detail and critical thinking skills required. 
  • Effective oral and written communication skills with the ability to communicate at various levels within the organization including,  business stakeholder management, staff, and contractors.
  • A self-starter with the ability to work independently, manage multiple competing projects, take initiative, and prioritize projects and expectations to meet deadlines.  This includes identifying methods, procedures, and additional information necessary to take on new assignments and projects.
  • Ability to handle sensitive and proprietary information with discretion and confidentiality.
  • Knowledge and proficiency to use personal computers and advanced knowledge of related software such as Microsoft Office Word, Excel, PowerPoint, and Outlook.

Preferred:

  • Bachelor’s degree or other relevant post-secondary education.
  • Paralegal degree or certification from an approved accredited paralegal program.
  • Skills and ability to motivate and work with others to achieve desired results.
  • Experience managing corporate/state filings.
  • Knowledge of state and federal laws and regulations which may include, but is not limited, to application of HIPAA, Anti-Kickback, and Sunshine Act.
  • Experience with review and analysis of medical device or healthcare industry related marketing material.
  • Knowledge and experience with distribution and GPO agreements.
  • Knowledge and experience in supply chain. 

Other:

  • Mental demands - work is meticulous, often with multiple priorities. The environment is deadline sensitive and individual may be exposed to high-pressure situations.

 

 

Estimated Salary Range*: $115,000 - $121,000 annually; commensurate with experience.

*Salary range is intended to reflect the range Bracco Medical Technologies reasonably expects to pay for the position and is based on salary and market data specific to the state of Minnesota.
